1.             Practice of Whistle Blowing or the complaint of corruption

The company provides channels for whistleblowing any fraud or corruption, including the process of receipt, verification, conclusion and protection of the complainants and relevant persons who have been affected or possibly affected by such a fraud or corruption. The guidelines are formulated as follows: - (Procedure of Whistle Blowing Complaint, Investigation and Inspection according to annex 1.4)

 

 Eligible Whistleblower

A whistleblower can be

1)        a director

2)        management

3)        an employee

4)        a stakeholder

5)        Any person who witnesses or knows any clue about illegal action or possibly fraudulent and corrupt behavior in a direct or indirect way.

 

Scope of Whistleblowing Fraud or Corruption

When having any doubt or witnessing any dishonest, untransparent action or violation of the following good practices: -

1)       The company’s policies, regulations, requirements or rules which have some loopholes or give a chance of fraud or corruption

2)        Unfair treatment of employees, as a result of refusing or giving information about fraud or corruption

3)        The law or the government requirements

 

Whistleblowing Channels

A complainant can report any complaint or clue about fraud or corruption through the company’s following channels: -

1)        E-mail to the legal assistant manager via peerasak@yuasathai.com and the assistant general manager (human resource) via nattapat@yuasathai.com

2)        Post to the legal assistant manager/the assistant general manager (human resource)

Whistleblowing Procedure

The whistleblowing procedure is determined as follows: -

1)        A complainant makes a written complaint, or on the website, and send it to either of the following authorized persons.-

2)        In the event that the complainants have no intention to disclose themselves, such intention shall be stated clearly in the complaints. Then, they will be protected under the non-disclosure procedure, in accordance with the privacy and confidentiality measures.

3)        For whistleblowing via the company’s website, only completely-filled complaints can be successfully submitted.

4)    For whistleblowing through the complaint box, the human resource department and the legal department will jointly open the box on Mondays within 12.00 hrs. and read the complaints together.


Consideration of Complaints on Fraud or Corruption

To report any clue or complaint, the following details and documents shall be provided: -

1)        First name–surname, position (if any), current address and a copy of ID card of the whistleblower or complainant for the company to report or explain the progress or inquire more information easily and promptly

2)        Name and position (if any) of the complainee       

3)        The complaint shall be made in writing and signed, or submitted through the designated whistleblowing channels.

4)        Date, month and year of the incident, details of such clue or complaint on fraud or corruption which must be true and clear enough for further investigation

5)        Any witness, evidence or object of corruption

6)        Name of witness (if any)

However, any clue or complaint on fraud or corruption will not be considered for the following cases: -

1)       The whistleblower or complainant does not inform his/her first name, surname, position (if any), current address, copy of ID card and the name and position (if any) of the complainee

2)       The complaint which was completely inspected and considered under the Company’s work regulations and without significant new evidence

3)       The complaint which the complainee has been terminated from employment for more than one year

4)       The complaint with no facts or which the whistleblower or complainant cannot clearly show any witness, evidence or fraudulent or corrupt behavior for investigation

5)       The fraudulent or corrupt action which was taken place over five year, counting untill the date of reporting such a clue or complaint
